DRAFT – to be reviewed by a solicitor before use. Not legal advice. These are business-to-business terms. [Square brackets] are placeholders or options. Prepared 13 October 2026. A solicitor should check the liability cap (clause 11) against your insurance and UCTA 1977 reasonableness, and confirm the "Founding Customer" wording (clause 6.5).
WinTheMove Terms of Service (for businesses)
Version: 2026-10-v1 Effective: 17 October 2026
These terms ("Terms") are a contract between Laszlo Dubois and Mohamed Mehdi Cherifi, trading in partnership as WinTheMove, 212 N V Buildings, 100 The Quays, Salford, M50 3BE ("WinTheMove", "we", "us") and the business that signs up ("you", the "Customer"). They incorporate our Data Processing Agreement ("DPA"), our Acceptable Use Policy ("AUP") and, for information, our Privacy Policy. If there's a conflict, the DPA takes priority for personal data, then these Terms, then the AUP.
1. Business use only
1.1 WinTheMove is for businesses only. By signing up, you confirm that you are acting for the purposes of your trade, business or profession (for example as a sole trader, partnership or company running a removals business), and not as a consumer. 1.2 The person signing up confirms they have authority to accept these Terms for the business.
2. The Service
2.1 WinTheMove is an online tool that lets you record quotes you've sent to your own customers ("Your Customers") and automatically sends follow-up emails to them on a schedule you control. Emails are sent from our email domain, show your business name, and send replies to your email address. The tool also gives you shortcuts to message Your Customers by WhatsApp or text from your own phone. Those messages are sent by you, not by us (the "Service"). 2.2 Chasing stops when a Customer replies (where we can detect it, or when you mark it), opts out, the quote is marked won or lost, or the move date passes. No more than one email per quote every 24 hours is sent to a Customer, between 8am and 7pm UK time. We may change these limits to protect deliverability or comply with law. 2.3 We may improve and change the Service. We won't make changes that materially reduce its core functionality during a paid period without telling you 30 days in advance. If we do, you may cancel and we'll refund any prepaid unused period. 2.4 We'll use reasonable care and skill. We don't guarantee that the Service will be uninterrupted, that every email will be delivered or detected as a reply, or that you'll win any particular amount of work.
3. Your account
3.1 Keep your login details secure and tell us promptly at support@winthemove.co.uk about any unauthorised use. 3.2 You must give accurate business details, including your legal name and postal address, and a privacy notice link if you have one (otherwise your emails link to a standard notice we host for you). These appear in emails to Your Customers. Chasing won't start until your legal name and postal address are filled in.
4. Your responsibilities for Your Customers' data
4.1 You are the controller of the personal data of Your Customers that you put into WinTheMove. We process it as your processor under the DPA. 4.2 You must comply with data protection and electronic marketing law, including the UK GDPR, the Data Protection Act 2018 and the Privacy and Electronic Communications Regulations 2003 ("PECR"). In particular, you must: (a) only add people who personally asked you for a quote for the move in question (see the AUP); (b) have a lawful basis for the follow-ups and tell Your Customers, in your privacy notice, that you use WinTheMove to send them; (c) give each Customer a simple way to opt out of follow-ups when you collect their details or send the quote. We give you suggested wording in our Acceptable Use Policy; (d) keep the follow-up wording about the quote they asked for, accurate, and free of false or misleading claims (for example, false claims about availability or urgency); (e) honour opt-outs and requests promptly, including those we pass to you; and (f) comply with any lead platform terms that apply to leads you add. 4.3 You confirm the declaration shown when you add each quote. We may rely on it. 4.4 You're responsible for the content of your templates and for any WhatsApp or text messages you send from your own phone.
5. Free trial
5.1 New customers get a 30-day free trial. No payment card is needed to start. There is no setup fee. After the trial you pay £19 per month only if you choose to continue. 5.2 If you don't subscribe by the end of the trial, the dashboard is locked and follow-ups pause. This counts as cancellation: you can export your data for 15 days, after which it's deleted under clause 7.3. 5.3 If you add a card during the trial, your first payment is taken when the trial ends, on the date shown on screen. You can cancel before then and won't be charged.
6. Fees and payment
6.1 The standard price is £19 per month. No VAT charged (we are not VAT-registered). It's billed monthly in advance through Stripe by card. 6.2 There is no minimum term. The subscription renews monthly until cancelled. 6.3 If a payment fails, we'll try again. While it's unpaid, follow-ups pause and the dashboard is locked until it's paid. 6.4 VAT. We are not VAT-registered, so no VAT is charged. If we have to register for VAT in future, we will give you at least 30 days' notice by email, and VAT will then be added at the applicable rate and shown on your invoices, including on the Founding Customer price. You may cancel before it applies. 6.5 Founding Customer price. The first five (5) businesses to start a paid subscription during the offer period are "Founding Customers". A Founding Customer pays £19 per month (no VAT charged; plus VAT only if we later register, under clause 6.4) for the core WinTheMove plan for as long as its subscription continues, even if our standard prices go up. This includes future improvements to that plan. It doesn't cover separately priced add-ons we may launch (for example, paid SMS or WhatsApp sending), which we'll offer at our then-current prices. The Founding Customer price ends if (a) you cancel, or (b) your subscription lapses for non-payment for more than 30 days. It is personal to your business and can't be transferred, except to a buyer of your whole removals business with our agreement (which we won't unreasonably refuse). Once five places have been taken, the offer closes. 6.6 Other price changes. For customers who aren't Founding Customers, we may change prices by giving at least 30 days' notice by email. The new price applies from your next billing date after the notice period, and you may cancel before then. 6.7 Fees aren't refundable for part-months, except where these Terms or the law say otherwise.
7. Cancellation and termination
7.1 You can cancel at any time, either in your account settings (Billing page) or by emailing support@winthemove.co.uk. Cancellation takes effect at the end of the current paid month, and follow-ups stop at that point. There are no cancellation fees. 7.2 We may suspend or end the Service immediately if you seriously or repeatedly breach these Terms or the AUP (for example, by chasing people who didn't ask you for a quote), if your use creates a legal or deliverability risk for us or other customers, or if you become insolvent. Otherwise, we may end these Terms by giving 30 days' notice and refunding any prepaid unused period. 7.3 Your data after cancellation: you can export your customer and quote data for 15 days after cancellation. We then delete it (15 days after cancellation), and we do not currently keep routine back-ups beyond the live database (DPA clause 7.3). We keep invoices and billing records for 6 years (HMRC), account details and support/cancellation history after the account closes for legal claims, and the suppression list (email address, firm, reason and date) indefinitely to honour opt-outs. While your account is active, quotes are deleted automatically 12 months after their last activity (DPA clause 7.2).
8. Intellectual property
8.1 We (and our licensors) own WinTheMove, its software, design and default templates. We give you a non-exclusive, non-transferable right to use the Service for your business during your subscription. 8.2 You own your data and your template wording. You give us a licence to use it only to provide the Service, as set out in the DPA. We may use aggregated, anonymised statistics that don't identify you or any individual to run and improve the Service. 8.3 If you give us feedback, we can use it freely.
9. Our data, security and suppliers
9.1 Our use of your account data is described in our Privacy Policy. Our processing of Your Customers' data is governed by the DPA. That includes the list of our sub-processors (currently Supabase, Resend, Cloudflare, Sentry and Stripe).
10. Confidentiality
Each of us will keep the other's non-public business information confidential and only use it for this contract, unless the law requires otherwise.
11. Liability
11.1 Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that can't be limited by law. 11.2 Subject to 11.1, we aren't liable for: loss of profits, revenue, jobs or business; loss of goodwill; or any indirect or consequential loss. 11.3 Subject to 11.1, our total liability under or in connection with these Terms in any 12-month period is limited to the greater of (a) the fees you paid us in that period and (b) £500. [Solicitor: check against insurance and UCTA s.3/s.11 reasonableness.] 11.4 You're responsible for, and will compensate us for reasonable losses arising from, any claim or regulatory action caused by your breach of clause 4 or the AUP (for example, emails to people who didn't ask you for a quote).
12. General
12.1 Notices go by email to the addresses on your account and to support@winthemove.co.uk. 12.2 Changes to these Terms: we may update these Terms by giving at least 30 days' notice by email. If you don't agree, you may cancel before the changes take effect. We may make changes needed by law, or for security, at shorter notice. 12.3 We may transfer this contract to a successor of our business (for example, a limited company the partners set up to run WinTheMove). We'll tell you if we do. You may not transfer it without our consent. 12.4 Force majeure: neither of us is liable for delay caused by events beyond reasonable control. 12.5 These Terms are the whole agreement between us about the Service. If any part is unenforceable, the rest still applies. No one else has rights under these Terms (Contracts (Rights of Third Parties) Act 1999 excluded). 12.6 Law and courts: the law of England and Wales applies, and the courts of England and Wales have exclusive jurisdiction.
